1. Acceptance & Use of Site

By accessing, browsing, registering for, or using 9.0 Niner Online Review (the "Site"), its courses, applications, platforms, tools, and learning resources (collectively, the "Materials"), you agree to be bound by these Terms of Use, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Site or the Materials.

These Terms constitute a legally binding agreement between you (the "User") and 9.0 Niner Online Review ("9.0 Niner," "we," "us," or "our"). We may modify these Terms at any time, and your continued use of the Site after any change constitutes your acceptance of the revised Terms.

2. License & Restrictions

Subject to your full compliance with these Terms and payment of all applicable fees, 9.0 Niner grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and view the Materials for a single individual’s personal, non-commercial study. You may make a single personal copy of any expressly downloadable Material solely for your own use.

You may not, directly or indirectly:

• Reproduce, copy, record, screenshot, screen-capture, download, store, mirror, or otherwise duplicate any Materials beyond a single personal copy expressly permitted above;
• Share, distribute, transmit, publish, post, display, resell, rent, lease, lend, sublicense, or otherwise make the Materials available to any other person or entity;
• Scrape, harvest, crawl, data-mine, or use any automated means, bots, or scripts to access, extract, or collect the Materials or any data from the Site;
• Reveal, disclose, summarize, transcribe, or republish the content, techniques, strategies, answer keys, mock exams, or methodologies contained in the Materials to any third party;
• Share, lend, or transfer your account credentials, login, dashboard, coaching sessions, or one-on-one access with any other person, whether or not for compensation;
• Circumvent, disable, or interfere with any security, authentication, watermarking, or access-control features of the Site or Materials;
• Use the Materials to develop, train, benchmark, or improve any competing product, service, model, or test-preparation offering.

Any breach of this section is a material breach of these Terms and automatically and immediately terminates your license and your access to the Site and Materials, without notice and without refund, and is in addition to any other remedies available to 9.0 Niner at law or in equity, including injunctive relief and recovery of damages and legal costs.

3. User Warranty

As a User you warrant that you are not an agent or employee of any other test preparation company, and that the Site and Materials are solely for the purpose of increasing your English test score.

You further warrant that you will not access or use the Site or Materials on behalf of, or for the benefit of, any competing test-preparation business, and that all information you provide to 9.0 Niner is truthful and accurate.

4. Intellectual Property

All Materials on the Site — including but not limited to all courses, video and audio recordings, live and recorded lectures, mock exams, practice questions, quizzes, answer keys, AI-powered tools and platforms, review notes, graphics, text, software, page layouts, the “9.0 Niner” name, logos, marks, and overall look and feel — are the exclusive property of 9.0 Niner Online Review or its licensors, and are protected by Philippine and international copyright, trademark, trade secret, and other intellectual property laws. All rights are reserved.

No part of the Materials may be reproduced, distributed, publicly displayed, transmitted, sold, sublicensed, or used to create derivative works without the prior express written consent of 9.0 Niner. Nothing in these Terms transfers to you any ownership of, or any intellectual property right in, the Materials.

Anti-infringement & anti-distribution. Unauthorized copying, recording, sharing, distribution, resale, or public posting of any Materials — including uploading them to file-sharing services, social media, messaging groups, or competing platforms — constitutes copyright and trade-secret infringement. 9.0 Niner will pursue all available legal remedies against any person who infringes or distributes its Materials, including injunctive relief, statutory and actual damages, account termination, and recovery of attorneys’ fees and costs.

5. Acceptable Use

When using the Site and Materials, you agree to:

• Use the Site only for its intended purpose of preparing for and improving your English test scores;
• Provide accurate, current, and complete information when registering and keep your account secure;
• Not upload, post, or transmit any unlawful, infringing, defamatory, harassing, or malicious content;
• Not introduce viruses, malware, or any code intended to disrupt, damage, or gain unauthorized access to the Site or other Users;
• Not impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right, in our sole discretion, to suspend or terminate access for any User who violates this section.

6. Hyperlinks

The Site may contain hyperlinks to third-party websites or resources. These links are provided for your convenience only and do not signify endorsement by 9.0 Niner. We have no control over, and assume no responsibility for, the content, privacy practices, or availability of any third-party sites. You access third-party sites at your own risk.

You may not frame, mirror, or deep-link to the Site, or use our marks in any link, without our prior written permission.

7. Disclaimer — No Warranty

The Site and Materials are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, 9.0 Niner disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

9.0 Niner does not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the use of the Materials will result in any particular test score or outcome. Any reliance you place on the Materials is strictly at your own risk.

8. Limitation of Liability

To the fullest extent permitted by applicable law, 9.0 Niner, its owners, officers, lecturers, coaches, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or relating to your use of, or inability to use, the Site or Materials, even if advised of the possibility of such damages.

In all cases, the total aggregate liability of 9.0 Niner arising out of or relating to these Terms or your use of the Site shall not exceed the amount you actually paid to 9.0 Niner for the specific course or service giving rise to the claim.

9. Governing Law

These Terms and any dispute arising out of or relating to them or your use of the Site and Materials shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the competent courts of the Philippines for the resolution of any such dispute.

10. Definitions

For purposes of these Terms, the following defined terms apply:

“Activation” means the date on which your enrollment, course, package, or account access is first activated by 9.0 Niner and made available to you, whether or not you have logged in or accessed any Materials. Where a service is prepaid and activated on your behalf by 9.0 Niner, Activation occurs when the corresponding account is created and made available.

“Business day” means any day other than a Saturday, Sunday, or public holiday in the Republic of the Philippines. Any period measured in business days is counted from the day following Activation.

“Dashboard progress” means the completion percentage recorded for your enrollment on your 9.0 Niner dashboard.

11. Payment Policy

All payments made to 9.0 Niner are non-transferable and non-refundable, except to the limited extent expressly provided in Section 12 (Course Transfers, Package Changes & Refunds) below. Enrollments, package entitlements, coaching credits, and any payment or payment credit applied to your account are strictly personal to the paying User and may not be transferred, assigned, gifted, resold, or otherwise reassigned to any other person, whether or not for compensation.

No payment credit may be exchanged for cash, and any unused portion of a payment credit has no cash value. This Section supplements, and where it is stricter shall control over, any more general provision of these Terms.

12. Course Transfers, Package Changes & Refunds

Course transfers & package changes. A request to transfer from one course to another, or to change the package associated with your enrollment, may be considered only if both of the following conditions are met: (a) the request is made within five (5) business days from Activation; and (b) your dashboard progress for the affected enrollment is below three percent (3%) at the time of the request. Requests that do not satisfy both conditions will not be accommodated.

Refunds. A refund request must be submitted within five (5) business days from Activation. A request made beyond this allowable period may be declined or, where 9.0 Niner elects to consider it in its sole discretion, may be subject to a processing fee, the amount of which will be announced separately. All refund requests remain subject to verification by 9.0 Niner and to the eligibility conditions set out in Section 13 (Refund Policy), and are granted at our reasonable discretion.

For prepaid AI-powered services and tools activated on your behalf, no transfer, change, substitution, or refund is available once the account has been created and activated, as set out in Section 14. Where this Section applies a stricter or more specific standard than any other provision of these Terms, this Section controls.

13. Refund Policy

Our refund policy is designed to be fair while ensuring that we can continue to provide high-quality courses to our students. Here’s a brief overview of our policy:

• Eligibility Period Refunds must be requested within five (5) business days from Activation, as set out in Section 12.
• Course Access Refunds are only possible if less than 3% of the course has been accessed (dashboard progress below 3%).
• Technical Issues Any technical issue must first be reported to help@nineronlinereview.com. We must be given at least 48 hours to investigate and resolve the issue before a refund will be considered.
• Accidental Purchases Must be reported within 24 hours for a refund consideration.

All refund requests are subject to verification by 9.0 Niner and are granted at our reasonable discretion in accordance with the conditions above.

14. Course Non-Transferability & Shifting Policy

All courses purchased from 9.0 Niner are strictly non-transferable to any other person. Requests to shift from one course to another, or to change your package, are governed by Section 12 (Course Transfers, Package Changes & Refunds) — such requests may be considered only when made within five (5) business days from Activation and while your dashboard progress is below three percent (3%). Section 12 controls the timing and eligibility of any such request.

For AI-powered services and tools, which are prepaid and activated on behalf of the student by the company, no changes, refunds, or substitutions may be made once the AI platform account has been created and activated. Activation constitutes full usage and fulfillment of that service.

15. Effective Date & Updates

These Terms are effective as of July 7, 2026. 9.0 Niner reserves the right to update, revise, or replace any part of these Terms at any time, in its sole discretion. Changes take effect when posted on this page, and the “Effective Date” above will be updated accordingly. Your continued use of the Site or Materials following any change constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
